The business type you choose will impact the amount you pay in taxes and your personal liability with the company. There are several types of business entities to choose from. You must select your business structure before registering your business and, in some cases, before deciding on a name. This is not a substitute for legal or professional advice.

Types of Business Structure

The Business Entity Comparison Table can show you a simple comparison, or you can find more detailed information from the US Small Business Administration (SBA). The Department of Revenue Services (DRS) has a document called “Getting Started in Business” for Connecticut that can help with your start-up process. Please look over this document if you have any trouble.

The DRS cannot advise you on choosing a business entity. You have to decide which of these entities best suits your business objectives and needs. You can get help in making this decision from a tax practitioner, such as an accountant, enrolled agent, or attorney, or one of the resource organizations listed in Chapter 10 of the link above. A tax practitioner can also provide information about how to establish the business structure you choose.

  • Stamford Small Business Resource Center at the Ferguson Library
    The Ferguson Library offers an extensive list of print and digital small business resources in their Small Business Resource Center. The Center also serves as a collaborative space, which promotes brainstorming and networking. The library will also host classes on topics related to small businesses.

  • UConn Law School’s Intellectual Property and Entrepreneurship Law Clinic
    Can perform patent searches, provisional/nonprovisional patent applications, trademark clearances, copyright and trade secret matters, drafting and negotiating intellectual property agreements, and Connecticut limited liability company formation if related to an intellectual property matter for their clients.

  • Connecticut Business Connection
    A business association who’s goal is to assist business owners and executives succeed in Connecticut through educational resources, various forms of support, and networking opportunities. Holds public meetings and and welcomes all.

  • Small Business Administration's Workshops
    A site with information on the SBA Workshops that are being offered near you. These workshops are provided for no or very low cost and are a great source of advice for both startups and developed small businesses alike.

  • CT Women’s Business Development Council
    A federally funded organization that provides both women and men with advice on how to be both an effective employee and small business owner. They offer a variety of workshops and one-on-one consultations aimed at teaching successful business and personal finance strategies.
